1. Acceptance of these Terms
Welcome to KidPro, a cloud-based childcare management platform owned and operated by Honeycomb Technologies Ltd, an Ohio corporation ("Honeycomb," "KidPro," "we," "our," or "us").
These Terms of Service ("Terms") govern your access to and use of the KidPro website, web application, mobile applications, and related services (collectively, the "Services").
By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.
If you use the Services on behalf of a childcare center, school, preschool, daycare, or other organization, you represent that you have authority to bind that organization to these Terms.
2. Eligibility
To use KidPro, you must:
- Be at least 18 years of age.
- Have the legal authority to enter into binding agreements.
- Use the Services only for lawful purposes.
- Provide accurate and complete registration information.
3. Our Services
KidPro provides cloud-based software to assist childcare organizations with:
- Enrollment
- Attendance
- Parent communication
- Classroom management
- Daily reports
- Billing and invoicing
- Staff management
- Child records
- Incident reporting
- Learning documentation
- Scheduling
- Notifications
- Other childcare administration features
We continually improve our Services and may modify, add, or remove features as our platform evolves.
4. Account Registration and Security
You are responsible for maintaining the confidentiality of your account credentials. You agree to:
- Keep your password secure.
- Restrict access to your account.
- Notify KidPro immediately of any unauthorized use.
- Ensure the information in your account remains accurate and current.
You are responsible for all activity occurring under your account unless caused by our negligence or a security incident within our systems.
5. Subscription Plans
KidPro offers subscription plans that may be billed:
- Monthly
- Annually
Pricing is available on our website or through a custom quotation.
Subscription fees are due in advance unless otherwise agreed in writing.
Taxes are additional unless otherwise stated.
6. Free Trial
KidPro may offer a free trial period for eligible customers. At the conclusion of the trial:
- Your trial may expire automatically; or
- You may choose to purchase a subscription.
KidPro reserves the right to modify or discontinue trial offers at any time.
7. Billing and Payments
Subscription payments are processed through secure third-party payment providers.
By subscribing, you authorize KidPro to charge the selected payment method for applicable fees.
If payment cannot be processed, KidPro may:
- Suspend access;
- Restrict features;
- Terminate the subscription after reasonable notice.
8. Refund Policy
KidPro offers a 30-day money-back guarantee for new subscriptions.
If you are not satisfied with the Services, you may request a refund within thirty (30) calendar days of your initial subscription purchase.
Refunds do not apply to:
- Subscription renewals after the initial purchase period.
- Professional services, implementation, migration, or training fees unless otherwise agreed in writing.
- Charges resulting from customer misuse or violation of these Terms.
Approved refunds will be processed using the original payment method where reasonably practicable.
9. Automatic Renewals
Unless cancelled before the end of the current billing period, subscriptions automatically renew for successive monthly or annual terms, depending on the selected plan.
You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing cycle unless otherwise required by law.
10. Customer Responsibilities
Customers are responsible for:
- Maintaining accurate records.
- Obtaining all necessary parental or legal guardian consents.
- Complying with applicable childcare laws and regulations.
- Maintaining the confidentiality of login credentials.
- Managing user permissions within their organization.
- Ensuring uploaded information is accurate and lawful.
KidPro is a software provider and does not provide legal, medical, educational, licensing, accounting, or childcare advice.
11. Customer Data Ownership
Customers retain ownership of all Customer Data uploaded to KidPro. KidPro does not claim ownership of:
- Child information
- Parent information
- Attendance records
- Daily reports
- Photos
- Communications
- Billing records
- Documents uploaded by customers
Customers grant KidPro a limited license to host, process, transmit, back up, and display Customer Data solely as necessary to provide the Services.
12. Privacy
Your use of the Services is also governed by the KidPro Privacy Policy, which describes how we collect, use, and protect personal information.
13. Acceptable Use
You agree not to:
- Use the Services for unlawful purposes.
- Upload malicious software or code.
- Attempt unauthorized access to any account or system.
- Reverse engineer, decompile, or disassemble the Services.
- Circumvent security measures.
- Interfere with platform operations.
- Use automated tools to scrape or extract data without authorization.
- Infringe the intellectual property rights of others.
- Upload content that is illegal, defamatory, abusive, or violates the rights of others.
KidPro may suspend or terminate accounts that violate these Terms.
14. Intellectual Property
KidPro, including its software, source code, user interface, graphics, trademarks, logos, documentation, and related materials, is the exclusive property of Honeycomb Technologies Ltd or its licensors and is protected by applicable intellectual property laws.
These Terms do not transfer ownership of any intellectual property rights to you.
15. Service Availability
We strive to maintain high availability of the Services.
While we aim to achieve the uptime commitments described in any applicable Service Level Agreement (SLA), we do not guarantee uninterrupted or error-free operation.
Scheduled maintenance, emergency maintenance, internet outages, force majeure events, and circumstances beyond our reasonable control may affect availability.
16. Support Services
KidPro provides customer support in accordance with the applicable subscription plan or support agreement.
Support may be provided by authorized Honeycomb Technologies Ltd personnel located in the United States or India.
17. Confidentiality
Each party agrees to protect the confidential information of the other using reasonable administrative, technical, and physical safeguards.
Confidential information shall not be disclosed except as necessary to perform obligations under these Terms or as required by law.
18. Third-Party Services
The Services may integrate with or rely on third-party providers, including payment processors, cloud hosting providers, messaging platforms, analytics services, and authentication providers.
KidPro is not responsible for the availability, security, or practices of third-party services beyond our reasonable control.
19. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HONEYCOMB TECHNOLOGIES LTD DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HONEYCOMB TECHNOLOGIES LTD, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY THE CUSTOMER TO KIDPRO DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.
21. Indemnification
You agree to indemnify, defend, and hold harmless Honeycomb Technologies Ltd and its officers, employees, affiliates, contractors, and agents from claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Services.
- Your violation of these Terms.
- Your violation of applicable laws or regulations.
- Content or data you upload to the Services.
- Your infringement of the rights of any third party.
22. Suspension and Termination
KidPro may suspend or terminate access if:
- Subscription fees remain unpaid.
- These Terms are violated.
- Continued access poses a security or legal risk.
- Required by law or regulatory authority.
Customers may terminate their subscription at any time through their account or by contacting KidPro. Termination will take effect at the end of the current billing period unless otherwise agreed.
23. Data After Termination
Upon termination of the Services:
- Customer access will end.
- KidPro may retain Customer Data for a limited period to comply with legal obligations, resolve disputes, or facilitate customer-requested exports.
- After the applicable retention period, Customer Data will be securely deleted or anonymized in accordance with our data retention policies.
Customers are responsible for exporting any data they wish to retain before account closure.
24. Force Majeure
Honeycomb Technologies Ltd shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, acts of government, labor disputes, internet outages, cyberattacks, pandemics, utility failures, or other force majeure events.
25. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Ohio, without regard to its conflict of law principles.
The parties agree that any legal action arising from these Terms shall be brought in the state or federal courts located in Ohio, and each party consents to the jurisdiction of those courts.
Before initiating litigation, the parties agree to make a good-faith effort to resolve disputes through informal negotiations.
26. Changes to these Terms
We may update these Terms from time to time.
Material changes will be posted on our website with a revised "Last Updated" date. Continued use of the Services after the effective date of the revised Terms constitutes acceptance of the updated Terms.
